What is a Local Legal Representative in Mexico?
A local legal representative in Mexico is required for incorporating a legal entity such as a Limited Liability Company (Sociedad de Responsabilidad Limitada) or Corporation (Sociedad Anonomina). All legal entities in Mexico require a local responsible party – this is the local legal representative or representant legal.

The individual is normally granted limited corporate authority only to represent the legal entity before the local governmental agencies such as the Servicio de Administración Tributaria (the local Mexican Tax Authority), IMSS (Mexican Social Security Institute) or similar agencies acting as the administrative representative and registered agent. However, companies may grant the representative broad legal authorities for banking, purchasing of property and corporate governance, if needed.

The individual must be a Mexican citizen or a foreigner with Mexican temporary or permanent residence, in addition to having a Mexican RFC number.

The legal representative must apply for the company’s RFC ID and other company registrations so that the company can operate.

Non-resident foreigners cannot act as the representante legal or legal representative, however, non-resident foreigners nevertheless can serve as CEO, Directors or hold other corporate offices.

The legal representative does not need to be a shareholder, director or anyone directly involved with the company. They usually are a local attorney, accountant or employee of the company.
