What is a Corporate Name Change?

Mexican Company names, referred to as a nombre de sociedad or razón social, can be changed freely in Mexico upon approval by the Mexican Secretary of the Economy. It is a multi-step process involving the execution of a notarized corporate assembly resolution, updating the company’s RFC ID registration, and multiple notifications before the authorities. Companies in Mexico very frequently have DBAs, which are distinct and different from the official corporate name.

The number of steps involved and complexity will depend on the number of registrations associated with the Mexican Company, if it has employees, or third-party relationships with banks or other institutions.

Depending on the company, the name change may need to be registered before any or all of the following:

Mexican Tax Administration Service - (SAT or Servicio de Administración Tributaria)

Mexican social security institute (IMSS or Instituto Mexicano del Seguro Social)

Sub-contracting Registry for Specialized Services (RPSE or Registro de Prestadores de Servicios Especializados u Obras Especializadas)

State Payroll Tax Authorities

Institute for the National Housing Fund for Workers ( INFONAVIT or Instituto del Fondo Nacional de la Vivienda para los Trabajadores)

National Banking Commission (CNBV or Comisión Nacional Bancaria y de Valores)

National Foreign Investment Registry (RENIE or Registro Nacional de Inversión Extranjera)

What Does a Corporate Name Change Involve?
